The real annual cost of a Dubai company is its recurring operating and compliance cost, not the promotional incorporation price. Compare a full first year, a normal renewal year and an exit scenario. The legal structure, activity, visa needs and office arrangements determine which items apply.
There is no single reliable annual figure for every company. Obtain an itemised written quotation for the entity you will actually operate, then add costs outside the formation provider’s package.
Separate one-off, annual and periodic costs
| Type | Examples to confirm |
|---|---|
| Formation | Registration, name, constitutional documents and initial service fees |
| Annual | Licence, workspace, accounting, banking, insurance and administration |
| Periodic | Residence processing, identity documents and establishment-related renewals |
| Conditional | Audit, extra approvals, additional activities, customs or product registrations |
| Exit | Cancellation, liquidation, tax deregistration and final professional fees |
A residence document valid for more than one year is not necessarily an annual payment, but it should still be budgeted across its renewal cycle. A “free visa” may refer to an allocation rather than the whole immigration process.
Ask for the second-year quote first
A first-year discount can hide the amount you will pay once the business is established. Request the normal licence renewal, workspace charge, provider retainer and any mandatory additional fee.
Compare equivalent assumptions: same activity, visa count, office access, legal form and accounting support. A package with no residence requirement is not directly comparable to one supporting a founder and family.
Our free-zone and mainland comparison explains the structural choices. Cheapest formation is only useful if the structure fits your customers and operations.
Include the founder’s real operating costs
Add health cover, residence-related processing, communications, travel for required appointments and any coworking or meeting space used beyond the licence address. Separate household expenses from company expenses in the accounts even when both need funding from the same business.
Bank charges can include minimum-balance fees, transfers, cards and foreign-exchange spreads. Payment processors and software subscriptions are additional. Budget the funds that need to remain in the business rather than treating every receipt as available income.
Our Dubai living-cost guide is useful for the personal side; avoid counting household rent as a company cost without a valid basis.
Do not omit accounts and tax compliance
A zero tax bill is not the same as no registration, records or returns. The FTA registration service describes registration obligations for taxable persons. Incorporated entities and natural-person businesses do not use identical entry tests.
Ask an accountant to quote for the actual work: bookkeeping volume, reconciliations, corporate-tax return, VAT where applicable, payroll, related-party transactions and any audit requirement. Audit obligations depend on the applicable law, licensing framework and tax treatment; they are not identical for every small company.
The FTA’s compliance reminder sets out the general nine-month corporate-tax return/payment window and seven-year record retention. Plan the service around the company’s financial year.
Read the corporate-tax guide before assuming every free-zone consultant qualifies for 0% on all revenue.
Stress-test your budget with three years
Create a cash schedule for incorporation, renewal and the next residence cycle. Use quoted amounts, payment dates and the exact service descriptions. Keep refundable deposits separate from non-refundable expenses. Combine this business budget with a comparison of your real disposable income after moving before deciding whether the overall move pays off.
Illustration only: a company with AED 20,000 of yearly licensing and administration, AED 6,000 of accounting and AED 4,000 of banking and operational overhead has AED 30,000 of fixed costs before tax and founder pay. At AED 300,000 revenue that is 10%; at AED 100,000 it is 30%. These are hypothetical inputs, not market quotes.
This is why a low-revenue experiment can be expensive even when the incorporation promotion looks modest.
Budget for closure before you need it
Letting a licence expire is not necessarily the same as formally closing the company. Ask about immigration cancellation, leases, employee obligations, bank closure, creditor settlement and tax deregistration.
Keep the accounting records and access to official portals until the required final steps are complete. Obtain written confirmation of closure rather than assuming silence means the obligations ended.
Compare quotations over three years
Consider two hypothetical offers with equivalent scope. Offer A costs AED 12,000 for the first year and AED 24,000 for each of the next two renewals. Offer B costs AED 18,000 initially and AED 20,000 at each renewal. The three-year totals are AED 60,000 and AED 58,000 respectively, before any identical excluded costs.
These figures are invented to illustrate the method, not estimates of current market packages. They show why a first-year discount alone cannot establish which offer is cheaper over your intended operating period.
Then compare the scope. If one quotation includes usable workspace, immigration administration or a necessary service that the other excludes, add the missing equivalent before making the decision. A numerical comparison is only useful when the underlying arrangement also fits your activity.
Ask what the provider’s recurring fee actually buys
Separate government and authority charges from the provider’s own service fee. Request a description of the work included at renewal, whether you can renew directly and which tasks remain your responsibility.
Check who controls the company’s official accounts and who receives notices. You should retain appropriate access to your own entity’s records even where an agent performs administrative work. Ask how records and access are transferred if you change providers.
Do not pay twice for services already included elsewhere. Equally, do not assume a formation agent’s annual retainer includes bookkeeping, tax filings or legal advice unless the scope says so clearly.
Distinguish an accounting fee from complete compliance
A bookkeeping quote may cover recording transactions and reconciling the bank without including a corporate-tax return, VAT work, an audit or advice on related-party payments. Obtain the deliverables and deadlines in writing.
Tell the accountant the expected number of transactions, currencies, payment processors, employees and related entities. A quote for a small domestic service business may not fit an international company with inventory or complex ownership.
Ask how late or incomplete records affect the charge. Good monthly document collection can reduce year-end reconstruction work and makes the business easier to manage, regardless of whether the tax payable is large or small.
Keep a renewal reserve in the cash forecast
Divide predictable annual costs into a monthly funding target, but also record their actual payment dates. A monthly expense allowance does not help if the corresponding cash has been withdrawn before the annual invoice arrives.
Keep periodic residence and establishment-related costs visible even when no payment is due this year. If the business supports dependants, distinguish the company’s formal costs from household sponsorship and insurance costs that also need funding.
Review the reserve when the business changes. Adding an employee, moving premises or expanding the activity can change the recurring cost structure more than a small increase in the original licence fee.
Model an unsuccessful launch as well as growth
Ask what happens if the business has little revenue after six months. Compare the costs of maintaining it properly, restructuring or closing. Include outstanding contracts, records, tax matters and immigration consequences in that assessment.
A company with no current trading may still have obligations. Do not treat a quiet bank account as evidence that nothing needs to be filed or renewed. Confirm the requirements for the actual entity.
Knowing the exit process before formation makes the commitment clearer. It does not imply expecting failure; it gives you a realistic boundary on the cost of testing the opportunity and prevents an inexpensive experiment becoming an indefinite administrative liability.
Use a complete comparison before committing
For each provider, request the first-year total, normal renewal, excluded government charges, accounting scope and exit costs. Then compare against the income the business can realistically produce.
