US LLC Formation for Non-Residents
A practical guide to using a Wyoming or Delaware LLC for e-commerce, online services and a business group based outside the United States.
A US LLC can create a clear American contracting and operating entity while you, your holding company or your wider business remain overseas. The useful structure is the one that fits how you actually sell, fulfil orders, manage people and receive profits.

When a US LLC can make commercial sense
An LLC is a company formed under state law. International founders often consider one when their business needs a dedicated US seller, a separate entity for American operations, or an ownership structure that can sit beneath an existing foreign company.
You do not need to relocate personally to consider this structure. Individuals and foreign companies can generally be members, subject to applicable restrictions and provider checks. However, selling to American customers does not automatically mean you need an American entity: first identify the operational problem it would solve.
E-commerce and physical products
A dedicated entity can bring supplier agreements, fulfilment contracts, customer terms, payment settlements and the US profit-and-loss account into one place. It is especially worth assessing before adding American inventory, staff or distribution partners.
Online services and digital businesses
An agency, software business or consultancy may benefit from a US contracting entity where customers or financial providers support that arrangement. Check the actual onboarding requirements before forming a company specifically to access a platform.
The strongest business case usually combines several benefits. A company formed only because a video promised “zero tax and instant banking” may add annual costs without solving a real constraint.
The practical benefits for an international online business
A consistent legal seller and contracting identity
Your checkout terms, invoices, supplier contracts and payment accounts should identify the business that actually sells the product or service. An LLC can give the US activity a consistent legal identity, which can simplify counterparty onboarding and internal administration. It does not guarantee better conversion rates or oblige a supplier to work with you.
Dedicated USD banking and payment workflows
A US entity may be eligible to apply for business accounts and payment services that support its ownership and business model. Approval remains a separate decision: providers can review the beneficial owners, their countries of residence, source of funds, operating address, products and transaction history. An EIN and a registered-agent address do not guarantee an account, credit or a payment-processing facility.
Compare the whole payment workflow: settlement currency, foreign exchange, reserves, chargebacks, refund handling and transfers to your existing business. Keeping dollars in a US account is useful only if the resulting fees and administration make sense.
Separation of operations, records and business risk
A separate entity can help distinguish the US store or business line from another company’s activities. That separation is more credible when the LLC signs its own contracts, maintains accurate books and uses its own accounts. Limited liability has exceptions; personal guarantees, misconduct and poorly maintained separation can undermine protection. Product liability and insurance still need attention.
If you already have a UAE company, compare this additional role with the structure explained in our guide to business setup in Dubai. Two entities should have clear jobs, rather than duplicate costs and inconsistent contracts.
Wyoming or Delaware: compare the decision that matters
Both states can be considered for an internationally owned LLC. The choice should follow the ownership agreement, operating footprint and professional advice. Delaware’s reputation with investors does not mean a Delaware LLC is equivalent to the Delaware C corporation an institutional investor may request.
| Item | Wyoming LLC | Delaware LLC |
|---|---|---|
| Basic state formation filing | $100 state filing fee. | $110 state filing fee. |
| Recurring state charge | Annual report and licence tax: at least $60, or 0.0002 of assets located and employed in Wyoming if greater. | $300 annual LLC tax; no annual LLC report is required. |
| Regular annual due date | First day of the anniversary month of formation. | June 1 following the relevant calendar year. |
| Decision focus | Often worth comparing when recurring state administration and cost are priorities. | Worth assessing where the owners, lawyers or counterparties have a specific reason to use Delaware law. |
| Activity elsewhere | Neither formation choice removes another state’s registration, tax, payroll or licensing requirements. | |
These are government charges checked on the date above, not GenZone package prices. Agent fees, online processing charges, expedited services, accounting and tax preparation are additional where applicable. See the Wyoming formation instructions, Wyoming annual-report guidance and Delaware LLC formation and annual-tax instructions.
If your real office and employees are in another state, forming there may be simpler than maintaining an LLC in one state and registering it in another. Entity registration and tax nexus are separate questions; a registered agent in Wyoming cannot move a warehouse out of California.
Understand the LLC’s federal tax classification first
“LLC” describes a legal form, not one universal tax treatment. Under the IRS default classification rules, the number of owners and any valid tax election determine how the business is treated for federal income tax.
| Ownership or election | Usual federal treatment | Practical consequence |
|---|---|---|
| One foreign individual owner | Disregarded entity, unless a corporate election applies. | The owner’s status and the underlying income matter; the LLC is not automatically exempt. |
| One foreign corporate owner | Disregarded entity, unless a corporate election applies. | The activity is generally treated as a division of the foreign owner for federal income tax. |
| Two or more owners | Partnership, unless a corporate election applies. | Partnership returns and foreign-partner withholding may become relevant. |
| Valid election for corporate taxation | Separate corporate taxpayer. | Company-level taxation and taxation of distributions need to be modelled. |
Disregarded status does not erase the company under state law, its contracts or every filing obligation. It also does not establish how your country of residence will classify it. A foreign individual or foreign company should not assume an S corporation election is available; that regime has ownership restrictions.
US customers, US operations and US income tax are different questions
Services carried out outside the United States
For personal-service income, the IRS generally looks at where the services are physically performed, rather than just the customer’s location or payment currency. A consultant working entirely outside the US therefore needs a different analysis from someone delivering work through a US office.
In a suitable foreign-owned, disregarded structure, foreign-source service income without relevant US business activity may fall outside US federal income tax. That conclusion must follow the facts. It does not automatically extend to royalties, software licensing, mixed revenue streams or work performed during US visits.
Inventory, fulfilment, employees and other US activity
An online store with American operations needs a fuller assessment. Document who owns the inventory, where it is held, how goods are purchased or produced, where sales occur, what agents do and who bears commercial risk. A third-party warehouse does not make every seller’s federal position identical.
The IRS explains that a foreign person engaged in a US trade or business can have effectively connected income, or ECI, taxable in the United States. Purchased and self-produced inventory can have different sourcing rules. “Online business” is not a federal tax exemption.
Compare two operating models: a founder delivering consulting from abroad may mainly need an entity and payment workflow. A store holding stock and employing staff in the US is building a local operation. The same Wyoming incorporation certificate cannot make their tax outcomes identical.
Sales tax and state registration need their own review
Federal income tax is only one layer. States can impose sales-tax collection duties based on physical presence or economic thresholds. Inventory, employees and direct sales through your own store can change the analysis even when your LLC was formed elsewhere.
Marketplace collection helps, but its scope is specific. For example, California’s guidance on marketplaces and fulfilment centres explains both inventory-related registration issues and the exception where all relevant retail sales are facilitated by a registered marketplace facilitator. Do not extend that exception automatically to sales through your own website.
Build a state-by-state map of inventory, staff, sales channels and revenue. Check sales-tax registration, entity qualification and state income or franchise taxes separately. A marketplace collecting checkout tax does not, by itself, settle the other obligations.
Can your foreign holding company or operating company own the LLC?
Yes, a foreign company can generally be an LLC member. This can make commercial sense where an existing group wants a dedicated US subsidiary for a store, distribution activity or customer contracts. The ownership chain can remain overseas while the LLC handles an identifiable operating role. For the European side of an existing group, also review keeping a European company while living in Dubai before allocating roles to a new US entity.
The important distinction: legal subsidiary, possible tax branch
If a foreign corporation is the sole owner and the LLC remains disregarded, separate legal ownership does not create a separate US corporate income-tax blocker. US activity can be attributed to the foreign corporate owner. The IRS’s Form 1120-F guidance explains when a foreign corporation must report a US trade or business.
An applicable US branch profits tax can also matter. The Form 1120-F instructions describe a 30% statutory branch-profits regime, subject to its rules and any available treaty relief. It is not simply a tax on each bank transfer to the parent. Compare this exposure with a corporation-taxed subsidiary before choosing the structure.
Give each group entity a real commercial role
Record who owns the brand, inventory and customer relationships; who provides staff and management; and who pays advertising, refunds and fulfilment costs. Agreements between separate taxable businesses should reflect their actual functions and applicable related-party pricing rules.
A management invoice does not automatically move all profit overseas. Conversely, transactions between a disregarded LLC and its owner may be ignored for federal income-tax purposes while still being reportable for information purposes. The legal accounts, tax treatment and reporting schedule must work together.
Already have a company outside the US?
Tell GenZone where the owner is resident, whether the owner will be you or an existing company, and whether you expect US stock, staff or premises. Request a formation proposal that reflects that structure.
Compare Wyoming and Delaware packagesYour personal tax residence still matters
Owning a US LLC does not move your personal tax residence, end home-country reporting or determine when you are taxed on business profits. Before formation, have your local adviser assess whether the LLC is transparent or opaque locally, whether profits are taxed as they arise or on distribution, and whether foreign-company, management or anti-avoidance rules apply.
A mismatch between countries can cause real double-tax problems. The UK government’s consultation on UK-resident LLC members illustrates how US transparency and UK treatment can differ. A consultation is not enacted reform; obtain advice on the rules in force for your own period.
Where treaty relief is relevant, check the actual treaty, the taxpayer entitled to claim it and the treatment of the income. Our guide to how double tax treaties work explains why a treaty cannot be assumed to solve every mismatch.
Using a US LLC alongside a UAE company
A possible commercial model is a UAE business managing wider international activity while a US entity handles a defined American business line. This can help organise counterparties and management accounts. It does not give the group a free choice about which country taxes each profit.
The UAE Federal Tax Authority states that a foreign-incorporated juridical person can become UAE resident for corporate-tax purposes if it is effectively managed and controlled in the UAE. Local classification, the real decision-making location and any applicable foreign-partnership conditions need assessment. US pass-through treatment should not simply be copied into a UAE return.
Read our UAE corporate tax guide before treating a second company as a tax-saving device. If relocation is also part of the plan, establishing UAE tax residency remains a separate personal question. A US LLC does not replace the appropriate UAE licence for activity carried on there.
Compliance: budget for the life of the company
EIN, ownership records and financial onboarding
Agree the ownership before applying for tax and financial accounts. Keep the formation document, operating agreement, ownership evidence and identification consistent. The IRS EIN application instructions explain the routes available to international applicants and the responsible-party requirements; online eligibility is limited. An EIN is a tax identifier, not permission to ignore provider checks.
Form 5472 can apply even when no income tax is payable
A foreign-owned US disregarded entity with reportable transactions generally needs Form 5472 attached to a pro forma Form 1120. Owner funding, contributions and distributions can be relevant; “no sales” does not necessarily mean “nothing to report”. The IRS Form 5472 instructions describe the requirements and a $25,000 initial failure-to-file penalty.
Appoint someone to review related-party transactions and filing deadlines from the first year, including formation and closure. Obtain the current filing method and extension process from the preparer rather than assuming a normal corporate return or an automated accounting export is sufficient.
More owners can mean more reporting
For a partnership-taxed LLC, foreign-owner reporting and withholding can apply to effectively connected taxable income even if cash is retained. See the IRS’s guidance for partnerships with foreign partners. Adding a co-owner can therefore change much more than the operating agreement.
Beneficial ownership reporting and privacy
At the source-check date, FinCEN exempts US-created entities from federal BOI reporting. Foreign ownership alone does not turn a Wyoming-created LLC into a foreign-created reporting company. This exemption does not remove IRS filings, state requirements or banks’ ownership checks, and should not be marketed as anonymous ownership.
What to ask GenZone before buying a package
GenZone offers Wyoming and Delaware LLC formation packages. Request a written proposal for your ownership and operating model, then separate the formation work from ongoing accounting and tax advice.
- State and ownership: why does the proposed state fit, and will the member be you, a holding company or another operating company?
- Included work: does the quote cover the state filing, registered agent, operating agreement and EIN assistance? Identify exclusions explicitly.
- Annual responsibilities: who files state renewals and the applicable federal returns, including Form 5472 where required?
- Banking and payments: which providers accept your owner residency and activity, what documents are needed, and what happens if onboarding is declined?
- Total ownership cost: obtain first-year and renewal-year figures, with accounting, tax preparation, additional-state registrations and closure costs separated.
State formation may be only the first milestone. The operating sequence is usually entity and ownership documents, EIN, financial onboarding, correctly registered commercial accounts, and any operational permits or tax registrations. Plan your launch around readiness to trade, rather than the certificate’s issue date.
Moving an existing store into the LLC
A new company does not automatically become the seller of an existing store. Before switching payouts, decide which entity will own or license the domain and brand, hold stock, take new orders and remain responsible for old refunds, chargebacks and warranties.
Review platform transfer rules, payment re-verification, supplier consent, customer terms, privacy notices and the tax treatment of any asset transfer. Keep a dated cutover record and opening balances. Retain records for the old entity instead of simply directing its revenue into a newly opened account.
